Welcome to Lumaglow®.

These Terms of Service ("Terms") describe your rights and responsibilities when you access or use our online store and related services.

Vecaura Inc., operating as Lumaglow® ("Lumaglow®", "we", "us", or "our"), operates this online store and website, including all related information, content, features, tools, products, and services (collectively, the "Services"). Our store is powered by Shopify, which enables us to provide the Services to you.

By visiting, accessing, or using the Services, or by purchasing a product from us, you agree to be bound by these Terms and by our:

Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection laws in your province, state, or country of residence.

1. Eligibility and Account

By agreeing to these Terms, you represent that:

  • You are at least the age of majority in your province, state, or jurisdiction of residence; and
  • You have the authority to enter into these Terms.

If you allow any minor dependents to use the Services on devices you own, purchase, or manage, you are responsible for their use of the Services.

To use certain features of the Services (including placing orders), you may be asked to provide information such as your name, email address, billing information, and shipping information. You represent and warrant that:

  • All information you provide is true, current, and complete, and
  • You have all rights necessary to provide that information.

You are solely responsible for maintaining the confidentiality of any account credentials (such as passwords) and for all activities that occur under your account. You may not transfer, sell, assign, or license your account to any other person.

We make reasonable efforts to describe and display our products and Services accurately in our online store. However:

  • Colours, packaging, and appearance may differ slightly from how they appear on your screen due to device settings and display differences.
  • We do not warrant that any product, service, or content will meet your expectations or that any errors in the Services will be corrected.

All product descriptions, formulations, pricing, and availability are subject to change at any time without notice. We reserve the right to:

  • Limit the quantities of any product or service offered to any person, household, geographic region, or jurisdiction, on a case-by-case basis.

3. Health Information and Product Use

Lumaglow® offers dietary supplements and wellness products. The information on the Services is provided for general informational and educational purposes only and is not medical advice.

In Canada, Lumaglow® is licensed as a Natural Health Product in accordance with Health Canada's Natural Health Products Regulations and holds a Natural Product Number (NPN) displayed on the product label.This means the product has been reviewed by Health Canada for safety, efficacy, quality, and the recommended conditions of use described on the label. This review does not constitute an endorsement of the product by Health Canada or a guarantee of any specific results.

Outside of Canada, including in the United States, statements about our products have not been evaluated by the U.S. Food and Drug Administration (FDA) or by any other foreign regulatory authority. Our products are not intended to diagnose, treat, cure, or prevent any disease.

You acknowledge and agree that:

  • Our products are not a substitute for professional medical care.
  • You should consult a qualified healthcare professional before using any new supplement, especially if you:
    • Have a medical condition or are taking medications;
    • Are pregnant, planning to become pregnant, or breastfeeding; or
    • Are considering supplements for a minor.

You are solely responsible for:

  • Reading and following all product labels, instructions, and warnings; and
  • Determining whether a product is suitable for your individual needs and circumstances.

If you experience any adverse reaction, you should stop using the product immediately and consult a healthcare professional. If you suspect a medical emergency, contact your local emergency services.

4. Orders

When you place an order through the Services, you make an offer to purchase the product(s) in that order under these Terms.

We reserve the right, in our sole discretion, to accept or reject any order for any reason, including but not limited to:

  • Product availability,
  • Errors in pricing or product information, or
  • Suspected fraud or misuse.

Your order is accepted only when we:

  • Successfully process your payment; and
  • Send you an order confirmation email.

Please review your order carefully before submitting it. We may not be able to accommodate changes or cancellation requests once an order has been accepted or shipped.

You represent and warrant that your purchases are for personal or household use only and not for resale or export.

5. Prices, Promotions, and Billing

Prices, discounts, and promotions are subject to change at any time without notice.

  • The price charged for a product will be the price in effect at the time you place your order and will be set out in your order confirmation.
  • Unless expressly stated, posted prices do not include taxes, shipping and handling, duties, customs charges, or other fees.

From time to time, we may offer promotions or discounts that are subject to separate terms and conditions. In the event of a conflict between such promotion terms and these Terms, the promotion terms will govern for that specific promotion.

You agree to provide current, complete, and accurate purchase and account information for all purchases made through our store and to promptly update your information (including email, billing details, and credit card information) so that we can complete your transactions and contact you as needed.

By providing a payment method, you represent and warrant that:

  • You are authorized to use that payment method;
  • The payment information you provide is true, accurate, and complete; and
  • You authorize us (and our payment processors) to charge the full amount of your order, including applicable taxes, shipping, and other charges.

6. Shipping, Delivery, and Risk of Loss

In general:

  • Order processing times and delivery estimates are not guaranteed and may be affected by carrier delays, customs, weather, and other factors beyond our control.
  • Once we hand your order to the carrier for delivery, title and risk of loss for the products pass to you, except where otherwise required by applicable law or expressly stated in our Shipping Policy.

The Services, including but not limited to all text, graphics, images, photos, video, audio, product information, logos, trademarks, designs, layouts, and other content (collectively, "Content"), are owned by Lumaglow®, its affiliates, licensors, or other third parties and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use only.

You must not:

  • Copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as reasonably necessary for your personal use of the Services;
  • Remove any copyright, trademark, or other proprietary notices from the Services; or
  • Use any trademarks, logos, product names, or trade dress belonging to Lumaglow® or any third party without prior written permission.

All rights not expressly granted in these Terms are reserved by Lumaglow® and its licensors.

8. Optional Tools and Features

We may provide you with access to tools, features, or functionality developed and offered by third parties.

You acknowledge and agree that:

  • We provide access to such tools "as is" and "as available", without any warranties, representations, or conditions of any kind;
  • We do not control and are not responsible for these third-party tools; and
  • Your use of third-party tools is entirely at your own risk and discretion, and you should review and agree to any applicable third-party terms and policies.

Any new features or tools added in the future will also be considered part of the Services and subject to these Terms.

9. Third-Party Links

The Services may contain links or references to third-party websites, services, or resources that are not owned or controlled by Lumaglow®.

We are not responsible for:

  • The content, accuracy, or availability of such third-party sites or resources; or
  • Any products, services, or information obtained from such sites.

Your use of third-party sites is at your own risk. We encourage you to review the terms and policies of any third-party websites before engaging in any transaction.

10. Relationship with Shopify

Lumaglow® is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Lumaglow®.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Lumaglow®, including any injury, damage, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Lumaglow®.

11. Privacy

All personal information we collect through the Services is subject to our Privacy Policy [link]. Because our store is hosted by Shopify, certain personal information may also be processed in accordance with Shopify's privacy policies.

By using the Services, you acknowledge that you have read and understood our Privacy Policy [link], and that information you submit through the Services may be transmitted to and stored by Shopify and other service providers, including in countries outside of your own.

12. Feedback, Reviews, and Submissions

If you submit, upload, post, or otherwise provide any ideas, suggestions, reviews, testimonials, feedback, proposals, or other content to us ("Feedback"), you grant Lumaglow® a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any lawful purpose, including marketing and product improvement.

You represent and warrant that:

  • You own or have all necessary rights to the Feedback;
  • Your Feedback is accurate and does not violate any law or third-party rights; and
  • You have disclosed any material connections or incentives related to your Feedback where required by law.

We may, but are not obligated to, monitor, edit, or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, or otherwise objectionable.

You are solely responsible for the Feedback you provide and for any consequences arising from it.

13. Errors, Inaccuracies, and Omissions

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability.

We reserve the right at any time to:

  • Correct any errors, inaccuracies, or omissions;
  • Change or update information; and
  • Cancel orders if any information on the Services is inaccurate, including after an order has been submitted, subject to applicable law.

We may, in our sole discretion, suspend or terminate your access to the Services (in whole or in part) at any time and for any reason, including if we believe you have violated these Terms or any applicable law.

Upon termination:

  • Your right to access and use the Services will cease immediately; and
  • You will remain responsible for all amounts due up to and including the date of termination.

Any provisions of these Terms which, by their nature, should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) shall continue in full force and effect.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and all products offered through the Services are provided on an "as is" and "as available" basis, without any warranty of any kind, whether express or implied.

Without limiting the foregoing, we disclaim all warranties, express or implied, including:

  • Implied warranties of merchantability, merchantable quality, fitness for a particular purpose, title, and non-infringement;
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free; and
  • Warranties as to the accuracy, completeness, or reliability of any content.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, in which case they shall apply to the maximum extent permitted by applicable law.

17. Limitation of Liability

To the fullest extent permitted by law, in no event shall Lumaglow®, Vecaura Inc., our directors, officers, employees, affiliates, agents, contractors, service providers, licensors, or Shopify and its affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, savings, data, use, goodwill, or other intangible losses; or
  • Replacement costs or business interruption,

arising out of or related to:

  • Your access to or use of (or inability to use) the Services;
  • Any products purchased through the Services;
  • Any errors, omissions, or inaccuracies in any content; or
  • Any unauthorized access to or use of our servers or your information.

Our total aggregate liability to you for all claims arising out of or related to the Services or any products shall not exceed the greater of:

  1. The amount you paid to us for the product(s) giving rise to the claim; or
  2. One hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow limitations of liability for certain types of damages, so some of the above limitations may not apply to you, in which case they shall apply to the maximum extent permitted by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Lumaglow®, Vecaura Inc., Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, and service providers from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or any policy incorporated by reference;
  • Your violation of any law or third-party rights; or
  • Your access to or use of the Services or products.

We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with any reasonable requests in assisting our defense.

19. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms. Such determination will not affect the validity or enforceability of the remaining provisions.

20. Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies referenced herein (including our Privacy Policy, Refund & Return Policy, and Shipping Policy), constitute the entire agreement between you and Lumaglow® regarding your use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

21. Assignment

You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them without our prior written consent. Any purported assignment in violation of this section is void.

We may assign or transfer our rights and obligations under these Terms to another entity at any time without notice.

22. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to your use of the Services or any products shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to conflict of law principles.

You and Lumaglow® agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Services, except where applicable consumer protection laws in your jurisdiction provide you with additional rights or require a different forum.

You can review the most current version of these Terms at any time on this page.

We may update or modify these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top; and
  • Provide any additional notice required by applicable law (for example, by email or by a notice on the website).

Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms.
